Welcome to register for a Vocu account. Thank you for using the Vocu service provided by HONGKONG VOCAREA TECHNOLOGY LIMITED (hereinafter referred to as "Vocarea") (which may also be called VocuAI, Vocu.ai, Vocu AI, etc., collectively referred to as "Vocu" or "this service")!
To protect your legitimate rights and interests, you should fully read and understand the "Vocu Account Agreement" (hereinafter referred to as "this Agreement"). By checking, confirming, or otherwise accepting this Agreement in any way, or using the Vocu service in any way, you are deemed to have read and agreed to be bound by this Agreement and the Vocu Service Agreement, and this Agreement shall become legally effective between you and HONGKONG VOCAREA TECHNOLOGY LIMITED (hereinafter referred to as "Vocarea").
In this Agreement, whether "Vocarea" or "Vocu" (and related similar names) may be used to refer to HONGKONG VOCAREA TECHNOLOGY LIMITED and the Vocu-related services provided by HONGKONG VOCAREA TECHNOLOGY LIMITED depending on the context.
If you have any questions about the content of this Agreement or are unable to fully understand it for any reason, please do not proceed to the next step. You may contact Vocu customer service for consultation so that we can explain and clarify for you. Your acceptance of this Agreement in any way means that you have fully read, understood, and fully agreed to the content of this Agreement, and will also follow the revised content.
If you are under 18 years old, please read and understand this Agreement with your parents or other guardians.
Article 1 Definitions
1.1 User: refers to natural persons, legal persons, or unincorporated organizations who register Vocu accounts, log in, browse Vocu websites, or purchase and use Vocu services, including you. In some cases, it is also called "customer". This Agreement is abbreviated as "you".
1.2 Vocu Website: refers to the Internet sites developed and operated by Vocarea for hosting Vocu services, including the official Vocu website and its subordinate pages, as well as mini-programs and other clients.
1.3 Third-Party Account: A third-party platform account recognized by Vocarea that is used to register and log in to Vocu accounts, such as Wusheng Passport, Google, WeChat, QQ, email, and other accounts recognized by Vocarea.
1.4 Laws and Regulations: including laws, administrative regulations, departmental rules, and other normative documents issued by competent state organs, as well as policies, requirements, decisions, or orders issued from time to time.
1.5 Vocarea Rules: refers to service agreements, service rules, specifications, statements, standards, guidelines, instructions, etc., formulated by Vocarea and published through the Vocu website or other channels to regulate your and Vocarea's behavior and the relationship between you and Vocarea, as well as other types of agreements signed between Vocarea and you.
Article 2 Account Registration and Real-Name Authentication
2.1 Account Registration Qualification
2.1.1 When registering a Vocu account, you should have the necessary and appropriate civil rights capacity and civil conduct capacity. Minors or persons with limited civil conduct capacity who do not have the civil conduct capacity required for registration, the consequences and responsibilities of their improper registration shall be borne by themselves or their guardians.
2.1.2 You warrant that you are not subject to sanctions nor are you a party to any prohibition list or restriction list, including but not limited to any subject list of any economic, trade, and financial sanctions or export restrictive measures formulated, managed, implemented, or enforced by the United Nations Security Council, China, or any international organization, country, or region, otherwise you may not be able to register and use Vocu services normally.
2.1.3 You shall ensure that your conduct in entering into and performing this Agreement and the consequences thereof do not violate the laws, regulations, and other normative documents of the applicable country or region, including but not limited to the laws and regulations of the People's Republic of China.
2.1.4 The number of Vocu accounts each user can register is limited. You cannot register more accounts than the number limited by Vocarea.
2.2 Account Attributes
2.2.1 The account you register on the Vocu website is the unique service identifier provided by Vocarea to provide you with services. Depending on the account, you can obtain corresponding Vocu services. The Vocu account is limited to your own use. Without Vocarea's consent, you may not provide the account to others for use in any way, including but not limited to transfer, gift, rental, or lending. Vocarea does not recognize any private transaction or transfer of accounts, and you shall bear the consequences and legal responsibilities arising therefrom.
2.2.2 According to laws and regulations, judicial rulings, or government orders, if Vocarea needs to cooperate in completing the transfer of account usage rights or implementing other operations or restrictions on the account, Vocarea shall execute them according to the law.
2.3 Real-Name Authentication
2.3.1 To verify the authenticity of your identity and better provide you with services, according to relevant laws and regulations, Vocarea has the right to require you to undergo real-name authentication. You know and agree that, depending on the real-name authentication method you choose, Vocarea needs to collect your personal or business information, such as name, face information, identity documents or business licenses, bank account information, etc., subject to page prompts.
2.3.2 During the real-name authentication process, Vocarea needs to pass your information to third-party authoritative institutions for verification to confirm that the information you provide is true, accurate, and valid. Vocarea will take necessary security and technical measures to protect the security of your information.
2.3.3 Real-name authentication information is the direct and primary basis for determining the ownership of Vocu account usage rights. When there is a dispute over account usage rights, Vocarea has the right to determine the ownership of account usage rights based on real-name authentication information. The rights and obligations under the account, unless there is clear and direct evidence to the contrary, should be deemed to belong to the subject of the real-name authentication information currently recorded by Vocarea.
2.3.4 When you undergo real-name authentication, you must treat it carefully, give it sufficient attention, and ensure that the authenticated subject is consistent with the account user, avoiding inappropriate authentication behaviors such as authenticating accounts used by enterprises under personal names, or authenticating accounts used by yourself under other people's names.
2.4 User Information
2.4.1 To generate your account and for Vocarea to maintain contact with you, during the registration and real-name authentication process, you should submit true, legal, and valid user information, such as your name, email address, contact address, contact phone number, etc., otherwise you will not be able to successfully complete account registration or affect your normal use of Vocu services.
2.4.2 You should update and maintain your user information in a timely manner. If the user information changes, you should update it in the Vocu website in a timely manner. For information that cannot be updated by yourself, you should notify Vocarea in writing in a timely manner to update it. If Vocarea finds that your information is incorrect, it has the right to require you to update or reset the information, and when necessary, require you to undergo real-name authentication again. You should take measures to properly keep your personal or business information. You need to bear the corresponding consequences yourself if your information is leaked or abused due to your poor safekeeping.
2.4.3 We attach importance to the protection of personal information. For Vocarea's privacy protection policy, please see the Vocu Privacy Statement.
2.5 Third-Party Account Registration
The third-party account you use to create a Vocu account should be an account that you have legitimate rights to and can continue to use normally. You can also link the Vocu account to a third-party account as a login method. Your behavior of creating and logging into Vocu accounts through third-party accounts is deemed to be your own behavior, and the operations on the Vocu account and their consequences are borne by you.
2.6 Account Naming
The account name and avatar you set must not violate laws, regulations, public order and good morals, and Vocarea rules, and must not cause confusion with others or cause others to misidentify. Otherwise, your account may not be successfully registered or may be required to modify. If you refuse to modify, Vocarea has the right to take account restriction measures on your account or refuse to provide you with products and services, and you should bear the consequences and responsibilities arising therefrom.
Article 3 Account Use
3.1 You can log in to the Vocu website and purchase or use products and services provided by Vocarea according to Vocarea rules. At the same time, you need to comply with laws and regulations and the Vocarea rules for the products and services you purchase or use. If you have any questions about the rules of the products and services, you can contact Vocu customer service at any time.
3.2 The Vocu account is the main way for you to operate and manage the rights under your account, and you need to operate carefully. If the system functions support, you can authorize or accept others to perform certain operations and management on your account by setting sub-accounts, creating and joining group account management, etc., and you need to bear the impact on your account rights and possible consequences and responsibilities of the above behaviors.
3.3 When you use Vocu accounts, you should uphold the principle of honesty and credit and follow the obligation of reasonable care, and you may not use Vocu accounts to endanger the network ecology, security, and transaction order.
3.4 You may open multiple Vocu accounts, and each Vocu account can carry out activities independently on the Vocu website. Under normal circumstances, Vocarea will handle each account behavior separately according to Vocarea rules, but if you violate this Agreement in using Vocu accounts, Vocarea has the right to merge and handle all Vocu accounts you actually control or take account restriction measures, etc. The accounts you actually control, in addition to the accounts you have previously declared to be controlled by you, also include accounts that Vocarea determines to be actually controlled by you based on information during the registration, login, and use process of different accounts.
Article 4 Account Security
4.1 Account Safekeeping
4.1.1 Your account and password are set by yourself, and you should take proper security measures to keep your account and password (including third-party account passwords). If your account password or other account information is leaked due to your poor safekeeping, or if you provide your account password to others, or if the account is stolen, all losses and legal responsibilities arising therefrom shall be borne by you.
4.1.2 You need to establish and improve your own internal management system to standardize the use and management of accounts. If you authorize your employees or others to manage the account based on your own business needs and other reasons, or use Vocu's account authorization function (such as setting sub-accounts, creating and joining group account management) in the case of system function support to authorize or accept others to perform certain operations on your account, you must do a good job of authority control, and timely complete handover and take account security protection measures (such as changing passwords, changing login methods, setting account protection, deleting relevant authorizations, etc.) when personnel changes occur.
4.1.3 You should properly keep the verification channel information for sensitive permission operations of your account, such as your security phone, email, etc., to prevent security risks caused by the leakage, invalidation, or error of relevant information.
4.2 Account Recovery
4.2.1 If you find that others have stolen your account or password, or any unauthorized use of the account occurs, you can protect and recover your account through the self-service methods provided by Vocarea; you can also notify Vocarea through valid channels to assist in processing. You understand that to protect the security of users' accounts, Vocarea needs to verify your identity first, and you need to provide necessary materials (such as user information, situation descriptions, supporting materials, and appeal applications, etc.). At the same time, Vocarea has the right to require you to undergo identity verification through facial recognition, providing photos of real-name documents (including photos holding documents), business licenses, etc., depending on the situation.
4.2.2 After verifying your identity, Vocarea will handle it according to laws and regulations and Vocarea rules. If the materials you provide are defective or you fail to provide materials in a timely manner, resulting in Vocarea's inability to verify your identity, inability to judge your needs, or other situations where timely processing cannot be carried out, the consequences and responsibilities arising therefrom shall be borne by you.
4.2.3 You understand that Vocarea needs a reasonable period to process your request. For losses you have incurred before Vocarea takes measures and losses caused after taking measures for reasons not attributable to Vocarea, Vocarea does not bear any responsibility.
4.2.4 You understand that Vocarea will not intervene in your internal disputes or disputes between you and others. If the dispute over account usage rights cannot be resolved in a short time, to avoid the expansion of losses, Vocarea may take temporary protective measures on the account based on the application of interested parties.
Article 5 Account Restriction Measures
5.1 Your registration and use behavior on the Vocu website should comply with relevant laws and regulations, this Agreement, and Vocarea rules, and must not harm national interests or legitimate rights and interests of others, nor endanger network security and transaction order.
5.2 In the following situations, Vocarea has the right to restrict or terminate the provision of some or all products and services to you, and has the right to take restriction measures on your account, including restricting account functions, freezing operation permissions, restricting login, etc., and even canceling accounts and permanently stopping service provision (collectively referred to as "account restriction measures"):
5.2.1 Your system has vulnerabilities that may endanger platform security;
5.2.2 You infringe or may infringe on the legitimate rights and interests of others. For example, others have evidence to prove that you have infringed, or the preliminary materials provided by others indicate that you may have infringed, but you have not responded and have not provided sufficient evidence to the contrary;
5.2.3 You have behaviors that endanger the network ecology, security, and transaction order;
5.2.4 You use Vocarea's products and services to implement or help others implement illegal and criminal activities;
5.2.5 There are other behaviors that violate relevant laws and regulations and Vocarea rules;
5.2.6 Vocarea finds that your account is abnormal;
5.2.7 Required by relevant state organs or legal and regulatory procedures;
5.2.8 Unforeseeable technical, security, or business reasons of Vocarea;
5.2.9 Other situations where account restriction measures must be taken to avoid harm occurring and expanding.
5.3 If you have registered multiple accounts, Vocarea has the right to uniformly handle multiple accounts you have registered and take account restriction measures when you have the situations stipulated in Article 5.2.
5.4 If you proactively apply for account restriction measures on your account based on account security management needs, Vocarea may evaluate whether to take corresponding measures according to your request, and the corresponding consequences are also borne by you.
5.5 If your account has not been logged in and used for a long time, Vocarea has the right to take corresponding account restriction measures on the account based on the unused status of the account.
5.6 Based on the need for proactive management of Vocu account security, for accounts that may have security risks (including but not limited to accounts suspected of telecommunications network fraud risks, situations where your real identity is suspected to be inconsistent with the identity information reserved with Vocarea), Vocarea has the right to require you to undergo identity verification by improving information, supplementing materials, and further adopting real-name authentication methods such as facial recognition. If you fail to supplement information and materials as required or cooperate in identity verification, or if identity verification fails, Vocarea has the right to take account restriction measures on you and refuse to provide you with products and services.
5.7 After Vocarea takes account restriction measures, it does not mean that all your behaviors and related responsibilities before the account was subjected to measures are exempted or reduced, and you still need to bear responsibility for all behaviors and matters under your account; Vocarea does not bear responsibility if your account is subjected to the above account restriction measures causing you or third parties losses.
5.8 When your account is subjected to account restriction measures, you can appeal to Vocarea. You should cooperate with Vocarea's requirements and provide identity information and related supporting materials and evidence for Vocarea to verify. You understand that Vocarea does not necessarily approve your appeal request.
5.9 If you proactively cancel your Vocu account, you should pay attention to checking and clearing the rights under the account and migrating and backing up your data. Account cancellation is irreversible. Once you complete account cancellation, you will not be able to log in to the account again. Please operate carefully. Please understand that to ensure account security, Vocarea may require you to undergo identity verification when you apply for account cancellation.

Article 6 Others
6.1 Unless specifically stated otherwise, trademarks, "Vocu" and other text, graphics, designs, and combinations thereof on the Vocu website, as well as other identifications, names, technical documents, product descriptions, operation guides, and other content intellectual property rights of the Vocu website belong to Vocarea. Your registration, login, or other use of the Vocu website does not constitute a transfer of the above intellectual property rights to you or any other third party. Without Vocarea's prior written explicit authorization, you may not copy, modify, sell, disseminate, or engage in any other behavior that harms or may harm Vocarea's intellectual property rights.
6.2 Any content, information, images, etc., that you upload, publish, or process on the Vocu website, you should ensure that it does not violate the provisions of laws and regulations and does not infringe on the legitimate rights and interests of any subject. Any losses to third parties and third-party claims caused by your behavior on the Vocu website and under the Vocu account shall be borne by you, and if this causes losses to Vocarea, you should be responsible for compensation.
6.3 Vocarea will make every effort to take measures to protect the security of your information, but subject to current technical conditions, no measures can achieve absolute security. When information security events occur, Vocarea will notify you according to the provisions of laws and regulations by publishing website announcements or through accounts, contact methods you have reserved. You agree that Vocarea may be exempted from liability for losses or other responsibilities arising from information security events not caused by Vocarea's fault.
6.4 Vocarea has the right to make changes to the terms of this Agreement. After the Agreement changes, if you continue to use the Vocu account, it means that you have fully understood and agreed to follow the revised Agreement terms.
6.5 The interpretation and execution of the terms of this Agreement apply to the laws of the People's Republic of China. In the event of any dispute, both parties should resolve it through friendly negotiation. If negotiation fails, both parties have the right to litigate to the court where Vocarea's company is located.
