Welcome to register for a Vocu account, and thank you for using the Vocu services provided by HONGKONG VOCAREA TECHNOLOGY LIMITED (hereinafter referred to as "Vocarea") (also known as VocuAI, Vocu.ai, Vocu AI, etc., hereinafter collectively referred to as "Vocu" or "this service")!
To protect your legitimate rights and interests, you should fully read and understand the "Vocu Account Agreement" (hereinafter referred to as "this agreement"). By checking, confirming or accepting this agreement in any other way, or using Vocu services in any way, you are deemed to have read and agreed to be bound by this agreement and the Vocu Service Agreement, and this agreement shall have legal effect between you and HONGKONG VOCAREA TECHNOLOGY LIMITED (hereinafter referred to as "Vocarea").
In this agreement, whether "Vocarea" or "Vocu" (and related similar appellations) may be used depending on the context to refer to HONGKONG VOCAREA TECHNOLOGY LIMITED and the Vocu-related services provided by HONGKONG VOCAREA TECHNOLOGY LIMITED.
If you have any questions about the content of this agreement or cannot fully understand it for any reason, please do not proceed to the next step. You can contact Vocu customer service for consultation so that we can explain and clarify for you. Your acceptance of this agreement in any way means that you have fully understood and fully agreed to all the provisions of this agreement.
If you are under 18 years old, please read and understand this agreement with your parents or other guardians.
Article 1 Definitions
1.1 User: refers to natural persons, legal persons or non-legal person organizations that register Vocu accounts, log in, browse Vocu websites, or purchase and use Vocu services, and are also referred to as "customers" in some cases. This agreement is abbreviated as "you".
1.2 Vocu Website: refers to the Internet sites developed and operated by Vocarea for carrying business Vocu services, including Vocu official website and its subordinate pages, as well as other clients such as mini-programs.
1.3 Third-party Account: Third-party platform accounts recognized by Vocarea and used to register and log in to Vocu accounts, such as Yanyu Pass, Google, WeChat, QQ, email, and other accounts recognized by Vocarea.
1.4 Laws and Regulations: Include laws, administrative regulations, departmental rules and other normative documents promulgated by competent state organs, as well as policies, requirements, decisions or orders issued from time to time.
1.5 Vocarea Rules: refers to service agreements, service rules, specifications, statements, standards, guidelines, instructions, etc. formulated by Vocarea and published through Vocu website or other channels to regulate the behavior of you and Vocarea, as well as the relationship between you and Vocarea, as well as other types of agreements signed between Vocarea and you.
Article 2 Account Registration and Real-name Authentication
2.1 Account Registration Eligibility
2.1.1 When registering a Vocu account, you should have the necessary and appropriate civil rights capacity and civil behavioral capacity. Minors or persons with limited civil behavioral capacity who do not have the civil behavioral capacity required for registration shall bear the consequences and responsibilities arising from their improper registration behavior by themselves or their guardians.
2.1.2 You guarantee that you are not subject to sanctions and are not a party to any other prohibited lists or restricted lists, including but not limited to any economic, trade and financial sanctions or export restriction measures formulated, managed, implemented or enforced by the United Nations Security Council, China and other international organizations, countries and regions. Otherwise, you may not be able to register and use Vocu services normally.
2.1.3 You should ensure that your conduct and consequences of entering into and performing this agreement do not violate the applicable laws, regulations and other normative documents of the country or region, including but not limited to the laws and regulations of the People's Republic of China.
2.1.4 The number of Vocu accounts that each user can register is limited. You cannot register more than the number limited by Vocarea.
2.2 Account Attributes
2.2.1 The account you register on the Vocu website is the unique service identifier for Vocarea to provide you with services. You can obtain corresponding Vocu services based on your account. Vocu accounts are limited to your own use. Without Vocarea's consent, you may not provide your account to others for use in any way, including but not limited to transfer, gift, rental or loan. Vocarea does not recognize any private transactions or transfer of accounts, and you should bear the consequences and legal responsibilities arising therefrom.
2.2.2 According to laws and regulations, judicial decisions or government orders, when Vocarea needs to assist in completing changes in account usage rights or implementing other operations and restrictions on accounts, Vocarea should execute them.
2.3 Real-name Authentication
2.3.1 To verify the authenticity of your identity and provide you with better services, according to relevant laws and regulations, Vocarea has the right to require you to undergo real-name authentication. You acknowledge and agree that, according to the real-name authentication method you choose, Vocarea needs to collect your personal or corporate information, such as name, facial information, identity documents or business licenses, bank account information, etc., subject to page prompts.
2.3.2 During the real-name authentication process, Vocarea needs to pass your information to third-party authoritative institutions for verification to confirm that the information you provide is true, accurate and valid. Vocarea will take necessary security and technical measures to ensure the security of your information.
2.3.3 Real-name authentication information is the direct and primary basis for determining the ownership of Vocu account usage rights. When disputes arise over account usage rights, Vocarea has the right to determine the ownership of account usage rights based on real-name authentication information. The rights and obligations under the account, unless there is clear and direct contrary evidence, should be deemed to belong to the subject of the current real-name authentication information recorded by Vocarea.
2.3.4 You must treat real-name authentication with caution, give it sufficient attention and ensure that the authentication subject is consistent with the account usage subject, avoid authenticating business accounts under personal names, and should not implement any improper authentication behaviors such as authenticating accounts used by yourself under others' names.
2.4 User Information
2.4.1 To generate your account and for Vocarea to maintain contact with you, during the registration and real-name authentication process, you should submit true, legal and valid user information, such as your name/title, email address, contact address, contact phone number, etc., otherwise you will not be able to successfully complete account registration or it will affect your normal use of Vocu services.
2.4.2 You should timely update and maintain your user information. If user information changes, you should promptly update it yourself on the Vocu website; for information that cannot be updated by yourself, you should promptly notify Vocarea in writing for updates. If Vocarea finds that your information is incorrect, it has the right to require you to update and reset information, and when necessary, require you to re-authenticate your real name. You should take measures to properly keep your personal or corporate information. If information is leaked or misused due to your poor custody, you need to bear the corresponding consequences yourself.
2.4.3 We value the protection of personal information. For details about Vocarea's privacy protection policy, please see Vocu Privacy Protection Statement.
2.5 Third-party Account Registration
The third-party account you use to create a Vocu account should be an account with legitimate rights and interests that you own and can use normally and continuously; you can also associate a Vocu account with a third-party account as a login method. Your behavior of creating and logging into Vocu accounts through third-party accounts is regarded as your own behavior, and you bear the operations and consequences performed on Vocu accounts.
2.6 Account Naming
The account name and avatar you set must not violate laws and regulations, public order and good customs, and Vocarea rules, and must not cause confusion with others or cause others to misunderstand. Otherwise, your account may not be successfully registered or may be required to be modified. If you refuse to modify, Vocarea has the right to take account restriction measures on your account or refuse to provide you with products and services, and you should bear the consequences and responsibilities arising therefrom.
Article 3 Account Usage
3.1 You can log in to the Vocu website according to Vocarea rules and purchase or use products and services provided by Vocarea. At the same time, you need to comply with laws and regulations as well as Vocarea rules for the products and services you purchase or use. If you have questions about the rules of products and services, you can contact Vocarea customer service at any time.
3.2 Vocu account is the main way for you to operate and manage the rights and interests under your account, and you need to operate carefully. If the system function supports it, you can authorize or accept others to perform certain operations and management on your account by setting sub-accounts, creating and joining group account management, etc. You need to bear the impact of the above behaviors on your account rights and interests as well as possible consequences and responsibilities.
3.3 When using Vocu accounts, you should uphold the principle of good faith and follow reasonable duty of care, and shall not use Vocu accounts to harm network ecology, security and transaction order.
3.4 You may open multiple Vocu accounts, and each Vocu account can independently carry out activities on the Vocu website. Under normal circumstances, Vocarea will handle each account behavior separately according to Vocarea rules, but if you violate this agreement in using Vocu accounts, Vocarea has the right to jointly handle you and all Vocu accounts actually controlled by you or take account restriction measures, etc. The accounts actually controlled by you include not only the accounts you have previously declared to be controlled by you, but also the accounts determined by Vocarea to be actually controlled by you according to the information during the registration, login, and use of different accounts.
Article 4 Account Security
4.1 Account Custody
4.1.1 Your account and password are set by yourself, and you should take appropriate security measures to keep your account and password (including third-party account and password). If your account password or other account information is leaked due to poor custody, or you provide your account password to others for use, or your account is stolen, you shall bear all losses and legal responsibilities arising therefrom.
4.1.2 You need to establish and improve internal management systems to regulate the use and management of accounts. If you authorize your employees or others to manage your account based on your business needs or other reasons, or use Vocu's account authorization function when system functions support it (such as setting sub-accounts, creating and joining group account management) to authorize or accept others to perform certain operations on your account, you must do a good job of permission control, and promptly complete handover and take account security protection measures when personnel changes occur (such as changing passwords, changing login methods, setting account protection, deleting related authorizations, etc.).
4.1.3 You should properly keep the verification channel information for sensitive permission operations of your account, such as your security phone, email, etc., to prevent related information from being leaked, invalid or incorrect and bringing security risks to you.
4.2 Account Recovery
4.2.1 If you discover that others have stolen your account and password, or any unauthorized account usage occurs, you can protect and recover your account through self-service methods provided by Vocarea; you can also notify Vocarea for assistance through effective channels. You understand that to ensure user account security, Vocarea needs to first verify your identity. You need to provide necessary materials (such as user information, situation description, supporting materials and appeal applications, etc.). At the same time, Vocarea has the right to require you to undergo identity verification through facial recognition, providing real-name ID photos (including handheld ID photos), business licenses and other methods as appropriate.
4.2.2 After verifying your identity, Vocarea will handle the matter according to laws and regulations and Vocarea rules. If the materials you provide are defective or you fail to provide materials in a timely manner, resulting in Vocarea being unable to verify your identity, unable to judge your needs, or other situations that cannot be handled in a timely manner, you shall bear the consequences and responsibilities arising therefrom.
4.2.3 You understand that Vocarea needs a reasonable period to process your request. Vocarea bears no responsibility for losses you have already incurred before Vocarea takes measures and losses caused by reasons not attributable to Vocarea after taking measures.
4.2.4 You understand that Vocarea will not intervene in your internal disputes or disputes between you and others. If account usage rights disputes that occur cannot be resolved in a short time, to avoid expanding losses, Vocarea may take temporary protective measures on the account based on applications from interested parties.
Article 5 Account Restriction Measures
5.1 Your registration and use behavior on the Vocu website should comply with relevant laws and regulations, abide by this agreement and Vocarea rules, and shall not infringe on national interests and others' legitimate rights and interests, and shall not endanger network security and transaction order.
5.2 In the following circumstances, Vocarea has the right to restrict or terminate providing some or all products and services to you, and at the same time has the right to take restrictive measures on your account, including restricting account functions, freezing operation permissions, restricting login, etc., and even canceling accounts and permanently stopping providing services (collectively called "account restriction measures"):
5.2.1 Your system has vulnerabilities that may endanger platform security;
5.2.2 You infringe or may infringe on the legitimate rights and interests of others. For example, others have evidence to prove that you have infringed, or the preliminary materials provided by others indicate that you may have infringed, but you have not responded and have not provided sufficient contrary evidence materials;
5.2.3 You have behaviors that endanger network ecology, security and transaction order;
5.2.4 You use Vocarea's products and services to implement or help others implement illegal and criminal behaviors such as obscenity, pornography, gambling, violence and terrorism, fraud, or inciting crime;
5.2.5 There are other behaviors that violate relevant laws and regulations and Vocarea rules;
5.2.6 Vocarea finds that your account is abnormal;
5.2.7 Required by relevant state agencies or legal and regulatory procedures;
5.2.8 Technical, security or business reasons that Vocarea cannot predict;
5.2.9 Other situations where account restriction measures must be taken to avoid harm and expansion.
5.3 If you have registered multiple accounts, Vocarea has the right to handle your multiple registered accounts uniformly and take account restriction measures when you have the circumstances stipulated in Article 5.2.
5.4 If you actively apply for account restriction measures on your account based on account security management needs, Vocarea can evaluate whether to take corresponding disposal measures according to your request, and you shall also bear the corresponding responsibility and consequences.
5.5 If your account has not been logged in and used for a long time, Vocarea has the right to take corresponding account restriction measures on the account based on the unused status of the account.
5.6 Based on the need for proactive management of Vocu account security, for accounts that may have security risks (including but not limited to accounts suspected of telecommunications network fraud risks, situations where your real identity is suspected to be inconsistent with the identity information reserved by Vocarea), Vocarea has the right to require you to undergo identity verification through improving information, supplementing materials, and further taking real-name authentication methods such as facial recognition. If you fail to supplement information and materials as required, cooperate in identity verification, or fail identity verification, Vocarea has the right to take account restriction measures against you and refuse to provide you with products and services.
5.7 After Vocarea takes account restriction measures, it does not mean that all your behaviors and related responsibilities before the account was subjected to measures are exempted or reduced. You still need to bear responsibility for all behaviors and matters under your account; Vocarea bears no responsibility for losses caused to you or third parties by the above account restriction measures taken on your account.
5.8 When your account is subject to account restriction measures, you can appeal to Vocarea. You should cooperate with Vocarea's requirements and provide identity information and relevant supporting materials and evidence for Vocarea to verify. You understand that Vocarea does not necessarily approve your appeal request.
5.9 If you actively cancel your Vocu account, you should pay attention to checking and cleaning up the rights and interests under the account, and migrating and backing up your data. Account cancellation is irreversible. Once you complete account cancellation, you will no longer be able to log in to the account. Please operate with caution. Please understand that to ensure account security, Vocarea may require you to undergo identity verification when applying for account cancellation.

Article 6 Others
6.1 Unless otherwise specified, the intellectual property rights of Vocu website trademarks, "Vocu" and other text, graphics, designs and their combinations, as well as other logos, names, technical documents, product descriptions, operation guides and other content of Vocu website belong to Vocarea. Your registration, login or other use behaviors on Vocu website do not constitute a transfer of the above intellectual property rights to you or any other third party. Without prior written explicit authorization from Vocarea, you may not copy, modify, sell, disseminate or engage in any other behaviors that damage or may damage Vocarea's intellectual property rights.
6.2 For any content, information, pictures, etc. that you upload, publish, and process on Vocu website, you should ensure that they do not violate the provisions of laws and regulations and do not infringe upon the legitimate rights and interests of any subject. Any losses and third-party claims caused to third parties by your behaviors on Vocu website and under Vocu accounts shall be borne by yourself. If this causes losses to Vocarea, you should be responsible for compensation.
6.3 Vocarea will do its best to take measures to ensure the security of your information, but limited by existing technical conditions, no measures can achieve absolute security. When information security incidents occur, Vocarea will notify you in accordance with the provisions of laws and regulations by publishing website announcements or through accounts and contact methods you have reserved. You agree that Vocarea can be exempted from liability for losses or other responsibilities arising from information security incidents not caused by Vocarea's fault.
6.4 Vocarea has the right to make changes to the terms of this agreement. If you continue to use your Vocu account after changes to this agreement, it means that you have fully understood and agreed to comply with the modified agreement terms.
6.5 The interpretation and execution of the terms of this agreement shall be governed by the laws of the People's Republic of China. In case of any disputes, both parties should resolve them through friendly consultation. If consultation fails, both parties have the right to resolve them through litigation in the court where Vocarea's company is located.
